About CGO Legal

CGO Legal advises foreign companies and investors doing business in Poland. We have worked with international clients since 2010 — today a team of around 70 lawyers, tax advisors and accountants handles company formation, ongoing corporate and tax compliance, debt recovery, work permits and regulated-market entry from one office in Warsaw.

Most of our clients come to us at one of four moments: they are entering the Polish market, they need someone to keep an existing Polish entity compliant, they are trying to recover money from a Polish counterparty, or they need to move people into Poland legally. Who we advise

„Foreign investor” is not one client. These three profiles account for most of our instructions, and each needs something different from us.

First company in the EU

Owner-managed businesses from India, Vietnam, Ukraine, Georgia and beyond, setting up their first European entity — usually a sp. z o.o. What matters here is a clear price, a realistic timeline and someone who handles the paperwork without requiring travel to Poland.

Corporates expanding into Poland

CFOs and in-house counsel at UK, German, Dutch and Nordic companies opening a subsidiary or branch. They compare jurisdictions carefully and need a partner who can cover legal, tax and bookkeeping for years, not a one-off registration.

Creditors chasing a Polish debtor

Scope and fixed quote

We set out the steps, the timeline and the fee in writing before starting. For debt recovery, a success-fee arrangement is usually available.

Step 3

Execution

One named lawyer owns your file. Most filings and registrations are handled under power of attorney, so you do not need to travel to Poland.

Step 4

Ongoing compliance

Once the entity is running, legal, tax and accounting obligations are tracked by the same team, so deadlines do not fall between providers.

Frequently asked questions

Do I need to travel to Poland to set up or run a company?

In most cases, no. Company registration, tax and VAT registration, and the majority of ongoing filings can be handled under power of attorney. Some situations — certain notarial acts or bank onboarding — may require your presence or a visit to a Polish consulate, and we tell you at the quoting stage if that applies to you.

Can a foreigner own 100% of a Polish company?

Yes. A non-resident individual or a foreign company can be the sole shareholder of a Polish sp. z o.o., and there is no requirement for a Polish resident director. Separate rules apply to acquiring agricultural land and to activity in regulated sectors.

Can you pursue a Polish debtor if my company has no presence in Poland?

Yes — that is the majority of our debt collection work. We act for creditors based anywhere, from the pre-litigation demand through court or European Payment Order proceedings to enforcement by a bailiff, under power of attorney.

What languages do you work in?

English, French, Polish and Russian. Correspondence, contracts and meetings can be conducted in any of these.
